Mihin given registration in extra quick time despite defects in articles of association

The Department of Registra of Companies had issued the certificate of incorporation to Mihin Lanka (Pvt.) Ltd within four days of receiving the application though there was an error in one of the sections of the articles of association, Presidential Commission of Inquiry (PCoI) on irregularities at SriLankan Airlines, SriLankan Catering and Mihin Lanka was informed yesterday. Overnight witness, Indika Roshan Gunawardena, representing the Department of Register of Companies, said that they had received the application on October 23, 2006. The AG’s Department Officers, assisting the Commission, pointed out that the then Register of Companies had noted, on October 25, that there was some defect in section 29 of its articles of association. But, there was no indication that the said article had been amended.The person who accepted the certificate had not given his name or other details, Gunawardena said. Usually, they had to write the name of the person who accepted and his particulars including the NIC number. 


 The application was presented by former Defence Secretary Gotabaya Rajapaksa and he was among the first four subscribers. The other subscribers are P. B. Jayasundera, Air Chief Marshal WDRMJ Roshan Goonetileke, 12th Commander of the Sri Lanka Air Force (SLAF) and Sajin de Vass Gunawardena, coordinating Secretary to the President. The nominal capital indicated was Rs 500 million, comprising five million Rs 10 shares. 


 The Register of Companies at that time was D. K. Hettiarachchi and the PCoI is attempting to contact him. 


 President Maithripala Sirisena appointed the commission on February 14, to inquire into allegations of fraud in SriLankan Airlines, SriLankan Catering (Pvt.) Limited and the Mihin Lanka Airlines during the period from January 1, 2006 to January 31, 2018. 


Retired Supreme Court Judge Anil Goonaratne is the President of the Commission. Its other members are: Appeal Court Judge Gamini Rohan Amarasekara, retired High Court Judge Piyasena Ranasinghe, former Deputy Auditor General Mallawaarachchige Don Anthony Harold and Director General of the Sri Lanka Accounting and Auditing Standards Monitoring Board Wasantha Jayaseeli Kapugama.
